Commerce & Supplier Addendum

Last updated: October 2026

1. Purpose and Incorporation

This Addendum sets out the additional rules for sellers (suppliers) who sell products through Yocota. It forms part of the Terms of Service. Where this Addendum is more specific, it prevails for the matters it covers.

2. Yocota Entities and Contracting Structure

Yocota LLC provides the technology and Platform; YOCOTA (PTY) LTD operates South African commercial activities, seller onboarding and related workflows. Each entity is responsible only for its own part of the service, as described in the Terms of Service.

Technology and platform:
Yocota LLC, domestic limited liability company (New Mexico registration no. 0008092470), 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, United States
South African operations:

3. Core Commercial Model

The supplier creates the product, sets its price and is responsible for its content, delivery and support. Yocota provides the review, checkout, delivery, buyer protection and payout infrastructure and receives the fees agreed with the supplier.

Under Direct Settlement, the active model, the provider settles the supplier's share directly into the supplier's verified payout account. Where Yocota Commerce or the Yocota Balance is enabled for a supplier, the applicable Yocota entity may act as merchant of record and record proceeds before payout, as described in the Terms of Service.

4. Supplier Appointment, Authorisation and Reseller Relationship

By listing a product, the supplier authorises Yocota to display, promote, sell and deliver it through the Platform and, where Yocota Commerce is enabled, to resell it to buyers as the contracting merchant. The supplier confirms that it owns or is licensed to sell the product and every element of it.

5. Seller Onboarding, KYC/KYB and Product Approval

Suppliers apply through the seller application and provide identity details, date of birth, address and, where relevant, business registration, beneficial ownership, tax and licensing documents (KYC/KYB). Applications are answered by e-mail and WhatsApp. To sell, the supplier must also add an active, verified payout account in its own name.

Every product is reviewed before it goes on sale. Its status is shown in the seller area as In review, On sale, Paused, Rejected (with the reason) or Deactivated by the team. Editing the name, description, category or delivery link sends the product back for review.

6. Eligible, Restricted and Prohibited Supplier Activities

Eligible, restricted and prohibited categories are defined in the Acceptable Use section of the Terms of Service. Product descriptions must be truthful and must not promise guaranteed results or income.

7. Product-Specific Refund, Delivery, Access and Cancellation Terms

Suppliers may set product-specific refund, delivery, access and cancellation terms, shown before payment. They cannot override the Buyer Policy, hide mandatory rights or contradict the actual delivery method. Missing or unclear terms are interpreted based on the checkout record, the evidence and the buyer's reasonable expectations.

8. Buyer Relationship, Checkout and Customer Terms

Buyers purchase through the Yocota checkout and accept the Buyer Policy and Privacy Policy. Suppliers receive only the buyer data needed to deliver and support the product, must not use it for unrelated marketing without consent, and must not redirect buyers to pay outside the Platform for a product listed on it.

9. Fulfilment, Delivery and Support

Digital products are delivered by a link sent automatically to the buyer by e-mail and WhatsApp once the payment is confirmed; the supplier must keep it working and the content available as promised. Physical products, where approved, require proof of stock, dispatch and delivery. The supplier must answer buyer support requests within the time set by Yocota.

10. Product Rights, Content and Intellectual Property

The supplier keeps ownership of its products and grants Yocota the licence described in the Terms of Service. The supplier is responsible for any infringement claim, and Yocota may remove a product upon a credible copyright or trademark complaint.

11. Pricing, Fees and Yocota Commercial Compensation

The supplier sets the product price within the limits shown in the seller area. Yocota's compensation is the fee shown to the supplier in the seller area or agreed in writing, and may include commissions, transaction fees and provider pass-through costs, as described in the Terms of Service.

12. Supplier Proceeds, Yocota Balance and Payouts

Supplier proceeds are the sale price minus the commission and any amounts owed. Under Direct Settlement they are settled by the provider directly into the supplier's payout account, on the provider's settlement schedule. Where the Yocota Balance is enabled, proceeds are recorded as pending, available or on hold and paid out subject to the Terms of Service.

13. Reserve, Hold, Payout and Evidence Matrix

  • Normal activity: proceeds follow the standard settlement schedule.
  • New supplier or new product: the team may apply closer review and request extra evidence before or after approval.
  • Open refund request or dispute: the product may be paused and, where supported, settlement of the related proceeds may be held until the case is closed.
  • Elevated refund, dispute or complaint rates: limits, holds or reserves may be applied while the exposure exists.
  • Suspected fraud or prohibited activity: sales and payouts may be suspended pending investigation.

14. Provider Settlement, Routing and Third-Party Dependencies

Settlement depends on the payment provider and the supplier's bank or payout rail. Yocota is not responsible for provider or bank delays, holds or decisions, and may change the provider or route used for a product where needed. See the Payment Orchestration documentation.

15. No Direct Storage of Sensitive Card Data

Card details are entered on the payment provider's secure page and never pass through Yocota's servers. Suppliers must never ask buyers for card details or payment credentials.

16. Risk Review, AML, Sanctions, Fraud and KYC/KYB Controls

Suppliers are subject to the anti-money laundering, sanctions and monitoring rules in the Terms of Service and must provide information requested by Yocota or its providers promptly. False or incomplete information may lead to rejection or termination.

17. Refunds, Cancellations, Chargebacks and Buyer Protection

Buyers are protected by the Buyer Policy. When a buyer is refunded, the supplier returns the share it received from that sale, which may be deducted from future proceeds. Chargebacks, dispute fees and related costs connected to the supplier's products are the supplier's responsibility.

18. Taxes and Merchant of Record Tax Treatment

Suppliers are responsible for their own taxes on their sales. Under Direct Settlement, Yocota does not withhold or pay taxes on the supplier's behalf but provides sales records on request. Where a Yocota entity acts as merchant of record, tax treatment follows the Terms of Service.

19. Regional Compliance and Activation

Payment methods, currencies and payout rails are activated per country and per supplier, subject to provider approval and local law. A feature available in one country is not necessarily available in another.

20. Data, Privacy, Evidence and Records

Suppliers must handle buyer data in line with the Privacy Policy and applicable law, and must keep delivery, access and support records that may be requested as evidence. Yocota keeps transaction and dispute records for as long as needed for legal, tax and dispute purposes.

21. Audits, Information Requests and Ongoing Monitoring

Yocota may request information, documents or explanations at any time to verify compliance, and may test purchase flows and product access. Suppliers must respond within the deadline set.

22. Suspension, Product Removal and Termination

Yocota may pause or remove products and suspend or terminate supplier accounts on the grounds set out in the Terms of Service. Suppliers may close their account at any time, but remain responsible for open refunds, disputes and amounts owed.

23. Negative Balances, Set-Off and Recovery

Amounts owed by the supplier, including refunded shares and chargeback costs, may be set off against future proceeds or recovered as described in the Terms of Service.

24. Supplier Indemnity

The supplier indemnifies Yocota, Yocota LLC, YOCOTA (PTY) LTD and their directors, employees and partners against claims and losses arising from its products, content, delivery, support, taxes or breach of this Addendum.

25. No Warranty and Limitation of Yocota Responsibility

Yocota does not guarantee any level of sales, approval or payout timing. The disclaimers and limitations of liability in the Terms of Service apply to this Addendum.

26. Dispute Resolution, Governing Law and Venue

The contracting entity, governing law, arbitration and venue rules of the Terms of Service apply to this Addendum.

27. Changes to this Addendum

Material changes are communicated by e-mail or in the seller area and apply from the date stated. Continued selling after that date means acceptance.

28. Survival

Provisions on refunds, chargebacks, set-off, recovery, indemnity, taxes, records and dispute resolution survive termination.

29. Contact

Supplier questions can be sent to suporte@yocota.com or to our team on WhatsApp.
